Humble AI Limited User Agreement Summary:

Service and Subscription: You're signing up to use our cloud-based automation software, which we refer to as the 'Services'. You'll have access to these Services based on a subscription model.

HUMBLE AI LIMITED - END USER LICENCE AGREEMENT
This End User Licence Agreement ("Agreement") is between you (either an individual or a single entity) and Humble AI Limited ("Humble AI," "we," "us," "our") and governs your use of our services ("Services"). By using our Services, you agree to the terms of this Agreement.
1. Definitions
"Services" refers to our cloud-based automation services. "User," "you," and "your" refer to you, as a user of our Services.
2. Subscriptions
Subject to your compliance with this Agreement, we grant you a non-exclusive, non-transferable licence to use the Services. Use of our Services is licensed on a subscription basis, (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles can be set as monthly, quarterly or annually, or as otherwise agreed, depending on the type of subscription plan you select when purchasing a Subscription.
At the end of each Billing Cycle, your Subscription will automatically renew unless you cancel it or we cancel it. You may cancel your Subscription renewal by emailing our team.
A valid payment method is required to process the payment for your Subscription. You shall provide us with accurate and complete billing information. By submitting payment information, you automatically authorise us to charge all Subscription fees incurred through to any such payment instruments.
Should automatic billing fail to occur for any reason, we will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.
3. Fee Changes
Humble AI, in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.
We will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.
Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
4. Refunds
Users are not allowed to claim for payments already made even if these relate to unused portions of the Service purchased. Humble AI reserves the right, however, in its sole discretion and without involving charges or obligation to Users generally, to grant reimbursement in very exceptional cases after evaluating the specific circumstances of the case.
5. Scope of Licence
You are licensed to use the Services for lawful business purposes only. You agree not to use the Services for any unlawful activity or in any way that could harm the Services or impair anyone else's use of it.
6. Third-Party Services
Our Services integrate with third-party services and tools. Your use of these third-party services and tools is subject to their respective terms and conditions, and we assume no responsibility for their content, services, privacy policies or practices.
You further acknowledge and agree that Humble AI shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party services or tools that you use.
7. Support and Updates
We will provide support for the Services provided through shared Slack channels and by email. Any updates will be provided as and when available.

Any notification and communication between users and Humble AI shall be considered effective, for any purposes, whenever conducted through any of the aforementioned methods.
8. Intellectual Property Rights
We retain all rights, title, and interest in the Services, including all associated intellectual property rights. These rights are protected by UK and international intellectual property laws and by any applicable agreements, including a mutual non-disclosure agreement.
9. Termination
We may terminate your licence to use the Services at any time for any reason, including but not limited to your breach of this Agreement or failure to pay the applicable subscription fees.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Humble AI, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorised access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
11. Governing Law and Jurisdiction
This Agreement shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Our failure to enforce any right or provision of this Agreement will not be considered a waiver of those rights. If any provision of this Agreement is held to be invalid or unenforceable by a court, the remaining provisions of this Agreement will remain in effect. This Agreement constitutes the entire agreement between us regarding our Services, and supersede and replace any prior agreements we might have between us regarding the Services.
12. Dispute Resolution
Any disputes arising out of or in connection with this Agreement shall be addressed through negotiations. If negotiations fail to resolve the dispute, the matter shall be settled under the jurisdiction of UK courts.
13. Privacy and Data Protection
By agreeing to this Agreement, you also agree to our Privacy Policy, which describes how we collect, use, and protect your data.

14. Changes
Humble AI reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
